Terms of Service

1. Agreement

By creating a Duro account, accessing our APIs, or using any Duro-hosted checkout or portal surface, you agree to these Terms of Service. If you are accepting on behalf of a business, you represent that you have authority to bind that entity.

2. Services

Duro provides subscription billing, payment collection, recovery automation, customer identity, and developer APIs. Services are provided on an "as available" basis. We may modify features with reasonable notice for material changes affecting production integrations.

3. Merchant obligations

  • Provide accurate business information and complete KYC verification for live mode.
  • Comply with applicable payment, consumer protection, and data protection laws.
  • Obtain valid consent from customers before charging subscriptions or storing payment methods.
  • Not use Duro for prohibited businesses including fraud, illegal goods, or unlicensed financial services.
  • Keep API keys and webhook secrets confidential; you are responsible for activity under your account.

4. Fees & billing

Transaction fees and subscription tiers are published on our pricing page. Recovery success fees apply only when a previously failed renewal is successfully collected. Unverified merchants are subject to a ₦1,000,000 monthly volume cap until KYC is approved. Duro may offset fees from settlement payouts.

5. Test and live modes

Test mode uses simulated rails and must not process real funds. Live mode requires verified KYC and live API keys. You are solely responsible for ensuring your integration uses the correct mode before accepting customer payments.

6. Data & privacy

Our collection and use of personal data is governed by the Privacy Policy. Merchants act as data controllers for their end-customer data; Duro acts as a processor for payment and identity services.

7. Limitation of liability

To the maximum extent permitted by law, Duro's total liability for any claim arising from these Terms is limited to fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue from third-party rail outages beyond our reasonable control.

8. Termination

Either party may terminate with thirty days' written notice. We may suspend accounts immediately for fraud, legal violations, or material breach. Upon termination, outstanding obligations, chargebacks, and settlement payouts will be handled per our settlement schedule.

9. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved in the courts of Lagos State, unless otherwise required by mandatory consumer protection law.
